Yann Martin-Lavigne assists his clients, French and foreign SMEs, ETIs and start-ups, in the field of corporate law.
For the purpose of M&A transactions, whether they relate to shares or business assets, he accompanies his clients from the preparation of the operation (due diligence, set-up) until full completion (SPA, Representations and Warranties, closing) and, if necessary, for subsequent operations (put and/or call options, earn out, etc.).
Yann Martin-Lavigne also assists companies through development operations, in particular for the opening of capital, whether to industrialists, investors or employees. He advises his clients for the implementation of cooperation agreements (partnerships, consortia, JV).
He is involved in the implementation of a governance or compliance schemes (code of conduct, risk mapping).
Yann Martin-Lavigne also intervenes, as a lawyer or mediator, in conflicts between shareholders, for the implementation of shareholders’ agreements or representations and warranties.
Its clients operate in diversified sectors (digital, health, finance, publishing, distribution, industry, advertising, etc.).

Education and experience
Member of the Paris Bar, Yann Martin-Lavigne studied at the University of Paris II – Assas, at Sciences Po Paris and at the University of Cergy-Pontoise. He is a certified mediator with the CMAP. After having worked in several Anglo-Saxon firms, then as an in-house lawyer within the Pechiney group, he set up his own firm in 2007, then join La Bruyère in a collaborative partnership in 2022.
He speaks French (mother tongue) and English (fluent).
